1. Description of Service

ReflexReview AI provides an automated, AI-driven reputation management and review response drafting platform (the "Service"). The Service assists businesses in monitoring online reviews and drafting suggested responses using artificial intelligence.

2. Eligibility and Account Registration

• Account Creation: To access the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep this information updated.
• Security: You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access or use.
• Requirements: You must be at least 18 years old and possess the legal capacity to form a binding contract to use this Service.

3. Artificial Intelligence and Generated Content Disclaimer

ReflexReview AI utilizes advanced machine learning and artificial intelligence algorithms to generate draft review responses, summaries, and suggestions (collectively, "AI Generated Content").

• Suggestions Only: AI Generated Content is provided strictly as a suggestion for your convenience. It does not constitute professional, legal, medical, public relations, or regulatory advice.
• Review and Approval: You acknowledge that artificial intelligence can occasionally produce inaccurate, misleading, offensive, incomplete, or hallucinated text. You are solely responsible for reviewing, editing, validating, and approving all AI Generated Content before it is published, transmitted, or otherwise utilized.
• Liability Allocation: ReflexReview AI assumes zero liability for any AI Generated Content. We are not responsible for any reputational damage, consumer complaints, legal claims, loss of business, regulatory fines, or platform penalties (including, but not limited to, violations of third-party review site policies) resulting from your publication or use of AI Generated Content.

4. SMS Messaging and Telecommunications Terms

• Carrier Terms and Frequency: If you opt in to receive SMS notifications, message and data rates may apply based on your mobile carrier plan. Message frequency depends on account activity and danger escalation events.
• Opt-Out:You can opt out of SMS communications at any time by replying "STOP" to any message received. After doing so, you will receive a single confirmation message, and no further SMS messages will be sent unless re-initiated by you.
• SMS Messaging Data: Mobile information and SMS opt-in data will not be shared with third parties or affiliates for marketing or promotional purposes. All the above categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties under any circumstances.

5. Integrations and Third-Party Platforms

The Service interacts with third-party platforms, including but not limited to Google Business Profile, Meta (Facebook/Instagram), Yelp, Stripe, and various online review networks ("Third-Party Platforms").

• Compliance with Third-Party Rules: You agree to abide by the terms of service, developer policies, and anti-spam guidelines of all Third-Party Platforms connected to your ReflexReview AI account.
• API Adjustments: We are not responsible for service interruptions, data loss, or functionality changes caused by modifications, outages, rate-limiting, or termination of APIs by these Third-Party Platforms.

6. Subscription Fees, Billing, and Cancellations

• Fees:Access to certain features of the Service requires a paid subscription ("Subscription"). Fees are billed in advance on a recurring, periodic basis (monthly or annually) via our third-party payment processor (Stripe).
• Automatic Renewal: Your Subscription will automatically renew at the end of each billing cycle under identical conditions unless you cancel it through your account dashboard or by contacting support before your next renewal date.
• Refunds: Except as explicitly required by law, paid subscription fees are non-refundable.
• Taxes: All fees are exclusive of applicable federal, state, or local taxes, for which you are responsible.

7. Acceptable Use and Restrictions

You agree not to use the Service to:

• Generate or publish content that is illegal, defamatory, harassing, abusive, fraudulent, deceptive, or hateful.
• Violate the intellectual property, privacy, or publicity rights of any third party.
• Scrape, data-mine, reverse-engineer, or attempt to extract the source code or underlying artificial intelligence models of the Service.
• Deploy automated bots, scripts, or spiders that disrupt the performance or integrity of the platform.
• Engage in deceptive review manipulation practices that violate federal, state, or local consumer protection laws (including Federal Trade Commission guidelines on endorsements and reviews).

8. Data Ownership and Privacy

• Your Data:You retain all rights, title, and ownership in the reviews, business information, and text inputs you feed into the platform ("Customer Data"). You grant ReflexReview AI a worldwide, non-exclusive, royalty-free license to host, process, and analyze Customer Data solely to provide, maintain, and improve the Service.
• Privacy Policy: Your use of the Service is also governed by our Privacy Policy, which details how we collect, use, and protect your information.

9. Intellectual Property Rights

ReflexReview AI, including its user interfaces, software architecture, code, branding assets, logos, and proprietary algorithms, is and remains the exclusive property of ReflexReview AI and its licensors. These Terms do not grant you any ownership rights or licenses to our underlying software or brand assets.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL REFLEXREVIEW AI, ITS AFFILIATES, OFFICERS, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

1. YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE.
2. ANY ACTIONS, ACTIONS TAKEN, RESPONSES POSTED, OR CONTENT PUBLISHED TO THIRD-PARTY PLATFORMS USING THE SERVICE.
3. UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

IN NO EVENT SHALL OUR TOTAL LIABILITY FOR ALL CLAIMS EXCEED THE TOTAL AMOUNT PAID BY YOU TO REFLEXREVIEW AI FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless ReflexReview AI and its affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to the Service.
• Your publication or deployment of AI Generated Content to any public review site or platform.
• Your violation of any third-party right, including intellectual property or privacy rights.
• Your violation of any term of these Terms or applicable consumer protection laws.

12. Termination

We reserve the right to terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service ceases immediately.

13. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the State of Alabama, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Alabama.

14. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
